Terms of Service

  • ambiet is currently in invite-only beta. Features may change.
  • We do not provide investment advice. Nothing in the app should be treated as a recommendation to buy, sell, or hold any security.
  • You own your data. We use it to run the service.
  • We can terminate accounts that abuse the service.
  • Our liability is limited — see Section 11.

1. Acceptance of Terms

By creating an account or using the ambiet Service, you agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

These Terms constitute a binding legal agreement between you and Ambiet LLC, a Colorado limited liability company ("ambiet," "we," "us," or "our").

2. Beta / Invite-Only Service

The Service is currently in an invite-only beta phase. This means:

  • Access is limited. You may only use the Service if you have received a valid invitation from ambiet.
  • Features may change. We may add, modify, or remove features at any time without notice.
  • The Service may be unavailable. During beta, we may take the Service offline for maintenance, updates, or other reasons without prior notice.
  • Beta does not mean informal. These Terms, our Privacy Policy, and all applicable laws apply in full during the beta period. Invite-only status does not exempt ambiet from legal or regulatory requirements, and it does not exempt you from your obligations under these Terms.

3. Eligibility

You must be at least 18 years old to use the Service. By accepting these Terms, you represent that you are at least 18 and have the legal capacity to enter into this agreement. The Service is currently available to residents of the United States only.

4. No Investment Advice

This is the most important section of these Terms. Please read it carefully.

ambiet is a financial data visualization and market information tool. We are not a registered investment adviser, broker-dealer, financial planner, or fiduciary of any kind.

  • Nothing in the Service constitutes investment advice. The market analysis, commentary, options flow data, portfolio displays, and AI-generated analysis (ARIA) provided through the Service are for informational and educational purposes only.
  • We do not recommend specific securities. Any discussion of specific stocks, options, or other instruments is descriptive market information, not a recommendation to buy, sell, or hold.
  • AI-generated analysis is not personalized advice. The ARIA feature generates impersonal market commentary. It does not account for your individual financial situation, risk tolerance, investment objectives, or tax circumstances.
  • Past performance does not predict future results. Historical data, patterns, and analysis shown in the Service do not guarantee or predict future investment returns.
  • You make your own decisions. All investment decisions are yours alone. ambiet bears no responsibility for any investment decisions you make based on information viewed in the Service.

If you need personalized investment advice, consult a registered investment adviser or licensed financial professional.

5. Account Registration and Security

5a. You must provide accurate information when creating your account. You are responsible for keeping your account information current.

5b. You are responsible for maintaining the security of your account credentials. Do not share your password with anyone.

5c. You must notify us immediately at info@ambiet.com if you suspect unauthorized access to your account.

5d. We are not liable for losses resulting from unauthorized access to your account that resulted from your failure to maintain account security.

6. Connecting Financial Accounts

6a. To use the core features of the Service, you may connect your brokerage or financial accounts through Plaid Technologies, Inc. By doing so, you authorize ambiet (through Plaid) to access the account data described in our Privacy Policy.

6b. By connecting a financial account, you represent that you are the account holder or are otherwise authorized to access and share that account's data.

6c. You may disconnect any linked financial account at any time through the Service settings. Disconnecting an account removes ambiet's ongoing access to that account's data. See our Privacy Policy for what happens to previously retrieved data.

6d. Your use of Plaid's services is also subject to Plaid's End User Privacy Policy at https://plaid.com/legal/end-user-privacy-policy/.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Service or its underlying systems
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated tools (bots, scrapers, crawlers) to access or collect data from the Service without our written permission
  • Use the Service to facilitate market manipulation, insider trading, or any other securities law violation
  • Transmit viruses, malware, or any other malicious code
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Use the Service in any way that could damage, disable, or impair the Service or interfere with other users

8. Intellectual Property

8a. The Service, including its design, features, software, and content (excluding your personal data), is owned by ambiet and protected by copyright, trademark, and other intellectual property laws.

8b. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use, subject to these Terms.

8c. You retain ownership of your personal data. By using the Service, you grant us a limited license to process your data as described in our Privacy Policy for the purpose of providing the Service.

8d. Market data, financial data, and third-party content displayed in the Service may be subject to their own intellectual property rights.

9. Privacy

Our Privacy Policy, incorporated into these Terms by reference, explains how we collect, use, and share your information. By using the Service, you agree to the collection and use of your information as described in the Privacy Policy.

10. Third-Party Services

The Service integrates with third-party services including Plaid (account connectivity), Supabase (data storage), and Anthropic (AI analysis). Your use of these integrations is subject to the applicable third-party terms. We are not responsible for the practices or content of third-party services.

11. Disclaimers and Limitation of Liability

11a. Service "As Is." THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11b. No Uptime Guarantee. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected.

11c. Financial Data Accuracy. Market data, financial data, and account information displayed in the Service may be delayed or inaccurate. We do not warrant the accuracy, completeness, or timeliness of any financial data. Do not rely on data in the Service for time-sensitive trading decisions.

11d. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AMBIET, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR INVESTMENT LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11e. Cap on Direct Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ANY DIRECT DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify and hold harmless ambiet and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

13. Termination

13a. We may suspend or terminate your account at any time, with or without cause, with or without notice. Grounds for termination include (but are not limited to) violation of these Terms, abuse of the Service, or our decision to discontinue the beta program.

13b. You may terminate your account at any time by contacting us at info@ambiet.com or using the account deletion feature in the Service settings.

13c. Upon termination, your right to use the Service ends immediately. Sections 4, 8, 11, 12, and 14 of these Terms survive termination.

14. Dispute Resolution and Governing Law

14a. Governing Law. These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law principles.

14b. Informal Resolution. Before filing a formal claim, you agree to attempt to resolve any dispute informally by contacting us at info@ambiet.com. We will try to resolve the dispute within 30 days.

14c. Jurisdiction. Any dispute not resolved informally shall be resolved in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of those courts.

15. General

15a. Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and ambiet regarding the Service.

15b. Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

15c. No Waiver. Our failure to enforce any provision of these Terms does not waive our right to enforce it in the future.

15d. Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15e. Changes to Terms. We may update these Terms at any time. We will notify you of material changes via email or in-app notice at least 14 days before changes take effect. Continued use of the Service after that date constitutes acceptance of the revised Terms.
